1. Definitions
“Product” refers to the Export Pricing Bundle, including the Excel pricing calculator, associated databases, Incoterms guides, and supporting documents.

“Licensee,” “you” means the individual or entity who purchases or uses the Product.

2. Grant of License
Limited, Non-Exclusive, Non-Transferable License. Upon full payment, we grant you a worldwide, non-exclusive, non-transferable license to use the Product for your internal business purposes.

Restrictions. You may not:

Copy, redistribute, sublicense, or resell the Product or any derivative works thereof.

Share the Product with third parties or make it available on any website, network drive, or forum.

Reverse-engineer, decompile, or otherwise attempt to extract source code or underlying data.

3. Delivery of Product
The Product will be delivered immediately after payment via a download link on the confirmation page and emailed to the address you provide.

We bear no responsibility for delivery failures due to incorrect email addresses or spam filters.

4. Payment & Pricing
All prices are displayed in Indian Rupees (INR).

Payment is processed through the SuperProfile.bio gateway (or the payment method displayed on the landing page).

You agree to pay all fees in full at the time of purchase.

5. No Refunds & Cancellations
All sales are final. Due to the digital nature of the Product, we do not offer refunds, exchanges, or cancellations once the download link has been issued.

6. Prohibited Reselling
Unauthorized resale or redistribution of the Product is strictly prohibited.

We reserve the right to terminate your license without refund if we discover any resale or sharing of the Product.

7. Intellectual Property
All intellectual property rights, including copyrights, trademarks, and database rights in the Product, remain with Durva Masterminds.

You acknowledge that nothing in these Terms transfers ownership of the Product to you.

8. Disclaimer of Warranties
The Product is provided “as is” without warranties of any kind, expressed or implied.

We make no representations or warranties regarding the accuracy, completeness, or suitability of the Product for your specific needs.

9. Limitation of Liability
To the fullest extent permitted by law, Durva Masterminds and its affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or related to your use of the Product, even if advised of the possibility of such damages.

10. Indemnification
You agree to indemnify and hold harmless Durva Masterminds, its officers, directors, and employees from any claims, losses, liabilities, damages, costs, or expenses arising from your breach of these Terms or your use of the Product.

11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law provisions.

Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nagpur, Maharashtra.

12. Changes to These Terms
We reserve the right to modify these Terms at any time. Any changes will be posted on this page with a revised “Last updated” date. Your continued use of the Product after such updates constitutes acceptance of the new Terms.
